1. Acceptance of Terms

By accessing or using ReplyMe ("the Platform", "the Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

ReplyMe is an AI-powered chatbot platform operated by Smartters Software Pvt. Ltd. ("we", "us", "our"). These Terms constitute a legally binding agreement between you and Smartters Software Pvt. Ltd.

2. Service Description

ReplyMe provides a Software-as-a-Service (SaaS) platform that enables businesses to:

• Integrate AI-powered chatbots into their websites and digital platforms
• Engage with customers 24/7 through automated conversations
• Generate and qualify leads through intelligent chatbot interactions
• Handle customer support queries and escalate to human agents when needed
• Access analytics and reporting on chatbot performance
• Customize chatbot appearance, behavior, and conversation flows

3. Account Registration and Eligibility

To use ReplyMe, you must:

• Be at least 18 years old or have the legal authority to enter into binding contracts
• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials and notify us immediately of any unauthorized access
• Be responsible for all activities that occur under your account
• Have the legal authority to represent the business you are registering for

4. Acceptable Use Policy

You agree not to use ReplyMe to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit, store, or process any illegal, harmful, or offensive content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to send spam, phishing, or other malicious communications
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Share your account credentials with unauthorized parties
• Use the Service in a manner that could damage, disable, or impair our systems

5. Intellectual Property Rights

Our Rights: The ReplyMe platform, including all software, designs, text, graphics, logos, and other content, is owned by Smartters Software Pvt. Ltd. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Your Content: You retain ownership of any content, data, or information you upload, input, or provide through the Service ("Your Content"). By using the Service, you grant us a license to use, store, and process Your Content solely for the purpose of providing and improving the Service.

6. Data and Privacy

Your use of ReplyMe is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for:

7. Service Availability and Modifications

We strive to maintain high service availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES

9. Indemnification

You agree to indemnify, defend, and hold harmless Smartters Software Pvt. Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

10. Termination

By You: You may terminate your account at any time by closing your account through your account settings or by contacting us.

By Us: We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent, illegal, or harmful activities
• Use the Service in a manner that threatens the security or integrity of our platform

Upon termination, your access to the Service will cease, and we may delete your account data in accordance with our Privacy Policy.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, through binding arbitration in accordance with Indian arbitration laws
• The exclusive jurisdiction of courts in Bhubaneswar, Odisha, India

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on our website at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
